1. Agreement to Terms

By accessing or using the AlgoDev Studio website (algodev.co.za) or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.

These terms constitute a legally binding agreement between you and AlgoDev Studio (Pty) Ltd, a company registered in South Africa, with offices in Cape Town and Johannesburg.

2. Services

AlgoDev Studio provides web development, custom software development, CRM systems, AI automation, mobile app development, Microsoft 365 configuration, and related digital technology services to businesses in South Africa and internationally.

All services are provided subject to a separate written Service Agreement or Statement of Work agreed between AlgoDev Studio and the client prior to project commencement. These Terms and Conditions apply in conjunction with any such agreements.

3. Intellectual Property

Upon full payment of all agreed fees, AlgoDev Studio assigns all intellectual property rights in custom deliverables specifically created for the client to the client, unless otherwise agreed in writing.

AlgoDev Studio retains all intellectual property rights in:

• Pre-existing tools, frameworks, libraries, and methodologies used in delivery
• Generic code templates and development utilities
• Internal processes and know-how
• Content on the AlgoDev Studio website

4. Payment Terms

Payment terms are set out in the applicable Service Agreement. Standard terms include:

• A deposit payable upon project commencement
• Milestone payments as specified in the project plan
• Final payment upon delivery and client acceptance

AlgoDev Studio reserves the right to suspend work on any project where invoices remain outstanding beyond agreed payment terms.

5. Client Responsibilities

The client agrees to:

• Provide accurate and complete information required for project delivery
• Respond to requests for feedback, approvals, and content within agreed timeframes
• Ensure AlgoDev Studio has access to necessary systems, credentials, and resources
• Use deliverables in compliance with all applicable laws and regulations

Delays caused by client non-responsiveness or failure to provide required materials may result in project timeline adjustments and may attract additional charges.

6. Limitation of Liability

AlgoDev Studio's liability to any client for any claim arising from the provision of services shall be limited to the total fees paid by the client for the specific project or service giving rise to the claim.

AlgoDev Studio shall not be liable for indirect, consequential, incidental, or special damages, including loss of revenue or business interruption, arising from the use of our services or deliverables.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information received from the other party in the course of a project engagement. This obligation survives the termination of any service agreement.

8. Governing Law

These Terms and Conditions are governed by the laws of the Republic of South Africa. Any disputes arising from these terms shall be subject to the jurisdiction of the South African courts.

9. Changes to These Terms

AlgoDev Studio reserves the right to modify these Terms and Conditions at any time. Updated terms will be published on our website with a revised effective date. Continued use of our website or services following any changes constitutes acceptance of the updated terms.
